Terms of Service

1.0 Acceptance of Terms

By accessing mxgsoft.com or engaging Mxgsoft Pte Ltd for digital transformation services, you agree to be bound by these terms. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind such entity.

2.0 Provision of Services

Mxgsoft provides strategic consultancy, software development (Moxogo ERP), and AI implementation. We operate on a "Diagnosis before Prescription" model. Specific deliverables are governed by individual Statements of Work (SOW).

For our 7-Day Website Launch: The 7-day clock begins only after all content approvals and technical assets are provided by the client.

3.0 Government Grant Advisory

Mxgsoft assists clients with technical documentation for EDG and PSG grants. However:

Grant approval is solely at the discretion of the Singapore Government (EnterpriseSG).
Clients are responsible for their own eligibility criteria and financial declarations.
Mxgsoft does not guarantee grant success and is not liable for rejected applications.

4.0 Intellectual Property

Unless otherwise agreed in writing:

Mxgsoft retains ownership of proprietary ERP cores (Moxogo) and internal AI logic frameworks.
Clients are granted a perpetual license to use custom-developed assets for their own business operations upon full payment.
Clients retain ownership of all branding materials and proprietary business data provided to Mxgsoft.

5.0 Limitation of Liability

To the maximum extent permitted by Singapore law, Mxgsoft shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) resulting from system downtime or AI-generated output inaccuracies. Our total liability is limited to the fees paid for the specific project stage in question.

6.0 Governing Law

These terms are governed by the laws of the Republic of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
